Merrion Pharmaceuticals plc ('Merrion') is a speciality pharmaceutical company with operations in Ireland and the United States and is focused on the development of improved oral dosage forms of drugs with poor bioavailability. Merrion, founded in 2003, was formed to acquire a range of assets from Elan Corporation following the announcement that it was re-organising to focus on key therapeutic areas and was electing to dispose of its drug delivery businesses. Merrion is currently developing improved formulations of known drugs, which will allow: (i) the drug to be administered orally when previously it was in injectable form; and/or (ii) improve the bioavailability of an existing oral formulation. The company is developing these enhanced drug profiles using its patented drug delivery platforms GIPET and GIRES. It is also looking to develop the platforms as drug delivery options for companies bringing new drugs to the market.

The Directors and certain Shareholders together representing 95.9% of the Enlarged Issued Share Capital have undertaken for a period of 180 days from the date of Admission, not to sell, assign, transfer, pledge, contract to sell or otherwise
dispose of any Ordinary Shares or any securities convertible into Ordinary Shares. Goodbody Corporate Finance may, in its sole discretion, release all or any portion of the Ordinary Shares subject to the lock-in arrangements.
Orderly market arrangements apply for six months from the date of the end of the 180 day lock up period. Pursuant to the lock up arrangements the relevant Shareholders are obliged to trade in Ordinary Shares only through Goodbody
Stockbrokers for the purposes of preserving an orderly market in the Ordinary Shares.
